IMPORTANT — PLEASE READ CAREFULLY. These Terms of Service ("Terms") constitute a binding legal agreement between you ("User," "Customer," or "you") and Launch Sandbox LLC, a Texas limited liability company ("Launch Sandbox," "we," "us," or "our"). By accessing or using any Launch Sandbox product, platform, service, or website (collectively, the "Services"), you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, do not access or use the Services.
"AI Features" means any functionality within the Services that employs machine learning models, large language models, generative AI systems, automation agents, or related artificial intelligence technologies to produce outputs, suggestions, code, content, decisions, predictions, or recommendations.
"Sandbox Environment" means any isolated testing, development, or experimentation workspace provided through the Services, including any compute resources, simulated data environments, execution environments, or testing infrastructure made available to Users.
"Subscription" means a paid plan granting access to the Services for a defined billing period, as set forth on the applicable order form or pricing page.
"User Data" means any data, content, code, files, prompts, inputs, or other information that you submit to, upload to, or generate within the Services.
"Output" means any result, response, content, code, analysis, recommendation, or other material generated by the AI Features in response to User inputs.
"Authorized User" means any individual you authorize to access the Services under your account.
"Documentation" means any technical documentation, user guides, or specifications made available by Launch Sandbox in connection with the Services.
2.1 Eligibility. You must be at least 18 years of age and capable of forming a binding contract to use the Services.
2.2 Account Creation. You must create an account to access most features of the Services. You agree to provide accurate, current, and complete information during registration.
2.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@launchsandbox.space of any unauthorized access.
2.4 One Account Per Entity. You may not create multiple accounts to circumvent usage limits or access restrictions.
3.1 License Grant. Subject to your compliance with these Terms and timely payment of applicable fees, Launch Sandbox grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services during your Subscription term solely for your internal business purposes.
3.2 Service Modifications. Launch Sandbox reserves the right to modify, update, or discontinue features of the Services at any time. We will provide reasonable advance notice of material changes.
3.3 Beta Features. Certain features may be designated as "beta," "preview," or "experimental." These features are provided as-is without warranty and may be modified or discontinued without notice.
3.4 Third-Party Integrations. The Services may integrate with third-party services. Launch Sandbox is not responsible for their availability, accuracy, or compliance.
This section is critical. Please read it in full before using any AI-powered feature of the Services.
4.1 Nature of AI Outputs. THE AI FEATURES GENERATE OUTPUTS USING PROBABILISTIC MACHINE LEARNING MODELS. OUTPUTS ARE NOT GUARANTEED TO BE ACCURATE, COMPLETE, CURRENT, RELIABLE, OR FIT FOR ANY PARTICULAR PURPOSE. AI-GENERATED CONTENT MAY CONTAIN ERRORS, OMISSIONS, HALLUCINATIONS, OUTDATED INFORMATION, OR CONTENT THAT IS INAPPROPRIATE OR INCORRECT.
4.2 No Professional Advice. OUTPUTS FROM THE AI FEATURES DO NOT CONSTITUTE AND SHOULD NOT BE RELIED UPON AS LEGAL, FINANCIAL, MEDICAL, TAX, REGULATORY, ENGINEERING, OR OTHER PROFESSIONAL ADVICE.
4.3 User Responsibility for Outputs. YOU BEAR SOLE RESPONSIBILITY FOR EVALUATING, VERIFYING, AND DETERMINING THE SUITABILITY OF ANY OUTPUT BEFORE RELYING ON IT.
4.4 Human Review Requirement. For any Output that may affect material business decisions, legal positions, financial matters, or third-party interests, you agree to have a qualified human professional review the Output before acting on it.
4.5 AI Model Providers. AI Features may be powered by third-party foundation model providers (e.g., OpenAI, Anthropic, Google). Launch Sandbox does not control the underlying models.
4.6 AI Output Ownership. To the extent Outputs are protectable under applicable law, Launch Sandbox assigns to you any rights Launch Sandbox may hold in Outputs generated from your User Data inputs, subject to your compliance with these Terms.
4.7 Prohibited Uses of AI Features. You may not use the AI Features to: (a) Generate unlawful, defamatory, or harassing content; (b) Make automated consequential decisions about individuals without human oversight and compliance with TRAIGA and applicable anti-discrimination laws; (c) Circumvent or deceive systems or persons fraudulently; (d) Train competing AI models using Outputs without written consent; (e) Violate third-party intellectual property rights; (f) Engage in unauthorized surveillance, social scoring, biometric identification, or profiling.
5.1 Purpose and Scope. Sandbox Environments are provided for development, testing, experimentation, and evaluation purposes only.
5.2 Sandbox Data. (a) No Regulated Data — You may not submit PHI under HIPAA, PCI-DSS data, or government-issued identification numbers without a separate DPA. (b) Use anonymized, synthetic, or fictitious data. (c) Sandbox contents may be reset or deleted at any time.
5.3 Isolation. Commercially reasonable isolation measures are implemented, but no isolation is absolute.
5.4 Resource Limits. Sandbox Environments are subject to compute, storage, and API limits as specified in your plan.
6.1 Subscription Plans. Certain features require a paid Subscription.
6.2 Billing Cycle. Subscriptions are billed in advance on a monthly or annual basis.
6.3 Payment. You authorize Launch Sandbox to charge your designated payment method.
6.4 Taxes. Fees are exclusive of applicable taxes. In Texas, SaaS subscriptions are subject to sales tax applied to 80% of the subscription fee.
6.5 Price Changes. 30 days' advance notice before price changes take effect.
6.6 Refund Policy. All fees are non-refundable except as required by law.
6.7 Auto-Renewal. Subscriptions auto-renew unless cancelled. Cancel via account settings or info@launchsandbox.space.
7.1 Launch Sandbox IP. Launch Sandbox owns all rights in the Services, including software, algorithms, models, UIs, documentation, and trademarks.
7.2 Your User Data. You retain all rights in your User Data. You grant Launch Sandbox a limited license to use it solely to provide the Services.
7.3 Feedback. If you provide feedback, you grant Launch Sandbox a perpetual, royalty-free license to use and incorporate it.
7.4 Restrictions. You may not reverse engineer, copy, sublicense, or use the Services to build a competing product.
8.1 Each party protects the other's Confidential Information using at least the same degree of care used for its own, and no less than reasonable care.
8.2 Standard exceptions apply (public knowledge, prior knowledge, independent development, third-party receipt without restriction).
You may not: (a) Violate any law or third-party rights; (b) Upload malware; (c) Conduct unauthorized security testing; (d) Engage in unauthorized data collection; (e) Impersonate persons or entities; (f) Interfere with the Services.
Commercially reasonable security measures are implemented. In the event of a breach, notification will be provided within 72 hours as required by TITEPA.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. LAUNCH SANDBOX EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12.1 IN NO EVENT SHALL LAUNCH SANDBOX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
12.2 TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) FEES PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) $100.00.
You agree to defend, indemnify, and hold harmless Launch Sandbox from claims arising from your use of the Services in violation of these Terms, your User Data, or your reliance on any Output.
14.1 These Terms continue until terminated. You may cancel your Subscription at any time. Launch Sandbox may suspend or terminate access for breach (with 10 days to cure) or for any reason with 30 days' notice.
14.2 Upon termination, User Data is retained for 30 days for export, then permanently deleted.
15.1 Governed by the laws of the State of Texas.
15.2 Disputes resolved by binding arbitration via AAA Commercial Arbitration Rules in Dallas, Texas.
15.3 Class Action Waiver. ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS.
Entire agreement. Amendments with 14 days' notice. Waiver must be in writing. Severability applies. You may not assign without consent. Force majeure.
